Terms of Service

Effective date: March 26, 2026

Please read these Terms of Service (“Terms”) carefully before using the NUPTIA platform operated by NUPTIA (“we”, “us”, or “our”). By creating an account or accessing the platform, you agree to be bound by these Terms. If you do not agree, do not use the platform.

1. Definitions

  • “Platform” means the NUPTIA web application, APIs, and any associated services.
  • “Planner” means a user who has registered as a wedding planner and manages one or more wedding workspaces.
  • “Couple” or “Client” means a user who has been invited by a Planner to access a wedding portal.
  • “Content” means any data, text, files, or materials you submit to the platform.
  • “Subscription” means a paid or free plan granting access to specified platform features.

2. Eligibility

You must be at least 18 years of age to use the platform. By agreeing to these Terms, you represent that you are of legal age and have the authority to enter into a binding contract. If you are using the platform on behalf of a business, you represent that you have the authority to bind that business to these Terms.

3. Accounts

3.1 Account Registration

To access most features, you must create an account with a valid email address and password. You are responsible for maintaining the confidentiality of your credentials and for all activity that occurs under your account.

3.2 Account Security

You agree to notify us immediately at [email protected] if you become aware of any unauthorised use of your account. We are not liable for any loss or damage arising from your failure to protect your account credentials.

3.3 Account Suspension

We reserve the right to suspend or terminate your account at any time if you violate these Terms, engage in fraudulent activity, or if required by law.

4. Subscriptions and Billing

4.1 Plans

NUPTIA offers multiple subscription tiers (Starter, Professional, Studio) with different feature sets and usage limits. Current pricing and feature details are available on our pricing page and are subject to change with reasonable notice.

4.2 Free Plan

The Starter plan is offered at no charge with limited features and usage caps. We reserve the right to modify, limit, or discontinue the free plan at any time with 30 days' notice to active free-plan users.

4.3 Paid Plans and Billing Cycle

Paid plans are billed monthly or annually in advance. All fees are stated in USD and are non-refundable except as described in Section 4.5. Your subscription renews automatically at the end of each billing period unless cancelled before the renewal date.

4.4 Free Trial

Paid plans include a 14-day free trial. No credit card is required to start a trial. At the end of the trial period, you must provide payment information to continue using paid features. If you do not provide payment, your account will be downgraded to the Starter plan.

4.5 Cancellations and Refunds

You may cancel your subscription at any time from your account settings. Cancellation takes effect at the end of the current billing period; you will retain access to paid features until then. We do not offer prorated refunds for partial billing periods except in cases where we have made a material change to the service that substantially reduces its value to you.

4.6 Price Changes

We may change subscription prices with at least 30 days' written notice. Your continued use of a paid plan after the new pricing takes effect constitutes acceptance of the new price.

5. Acceptable Use

You agree not to use the platform to:

  • Violate any applicable law or regulation.
  • Upload, transmit, or store content that is unlawful, defamatory, obscene, or infringing on third-party rights.
  • Attempt to gain unauthorised access to any part of the platform or to other users' data.
  • Interfere with or disrupt the platform or its servers or networks.
  • Use automated tools to scrape or bulk-extract data without our written consent.
  • Impersonate any person or entity, or misrepresent your affiliation with any person or entity.
  • Use the platform to spam, phish, or send unsolicited communications.

6. Your Content

6.1 Ownership

You retain all ownership rights to the content you submit to the platform, including wedding data, guest information, and documents. We do not claim any ownership over your content.

6.2 License to Us

By submitting content, you grant NUPTIA a limited, non-exclusive, royalty-free licence to store, process, and display your content solely as necessary to provide the platform services to you and your invited clients.

6.3 Content Responsibility

You are solely responsible for the accuracy, legality, and appropriateness of all content you submit. You represent that you have obtained all necessary permissions to collect and store the personal data of guests, vendors, and clients you enter into the platform, and that doing so complies with applicable data protection laws.

7. Intellectual Property

The NUPTIA platform, including its design, software, logos, and documentation, is the exclusive property of NUPTIA and is protected by copyright, trademark, and other intellectual property laws. You may not copy, modify, distribute, sell, or lease any part of the platform or its underlying software without our written permission.

8. Third-Party Services

The platform integrates with third-party services (including Supabase for data storage and authentication, and Sentry for error monitoring). Your use of the platform is also subject to the terms and privacy policies of these third-party providers. We are not responsible for the practices or policies of any third-party service.

9. Privacy

Our collection and use of personal information is governed by our Privacy Policy, which is incorporated into these Terms by reference. By using the platform, you consent to the collection and use of information as described therein.

10. Disclaimers

THE PLATFORM IS PROVIDED “AS IS” AND “AS AVAILABLE” WITHOUT WARRANTIES OF ANY KIND, EXPRESS OR IMPLIED, INCLUDING BUT NOT LIMITED TO WARRANTIES OF MERCHANTABILITY, FITNESS FOR A PARTICULAR PURPOSE, AND NON-INFRINGEMENT. WE DO NOT WARRANT THAT THE PLATFORM WILL BE UNINTERRUPTED, ERROR-FREE, OR FREE OF VIRUSES OR OTHER HARMFUL COMPONENTS.

11. Limitation of Liability

TO THE FULLEST EXTENT PERMITTED BY APPLICABLE LAW, NUPTIA AND ITS OFFICERS, DIRECTORS, EMPLOYEES, AND AGENTS SHALL NOT BE LIABLE FOR ANY INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, OR PUNITIVE DAMAGES, INCLUDING LOSS OF PROFITS, DATA, OR GOODWILL, ARISING OUT OF OR IN CONNECTION WITH YOUR USE OF THE PLATFORM, EVEN IF ADVISED OF THE POSSIBILITY OF SUCH DAMAGES. IN NO EVENT SHALL OUR TOTAL LIABILITY TO YOU EXCEED THE GREATER OF (A) THE AMOUNT YOU PAID US IN THE 12 MONTHS PRECEDING THE CLAIM OR (B) USD $100.

12. Indemnification

You agree to indemnify, defend, and hold harmless NUPTIA and its affiliates, officers, employees, and agents from and against any claims, liabilities, damages, losses, and expenses (including reasonable legal fees) arising out of or in any way connected with your access to or use of the platform, your content, or your violation of these Terms.

13. Termination

Either party may terminate this agreement at any time. You may do so by cancelling your subscription and deleting your account. We may terminate or suspend your access immediately, without prior notice or liability, for any reason, including if you breach these Terms. Upon termination, your right to use the platform ceases immediately. Sections 6, 7, 10, 11, 12, and 14 survive any termination.

14. Governing Law and Disputes

These Terms are governed by and construed in accordance with applicable law. Any dispute arising from or relating to these Terms or your use of the platform shall be resolved through good-faith negotiation. If the parties cannot resolve a dispute through negotiation within 30 days, either party may pursue available legal remedies.

15. Changes to These Terms

We reserve the right to modify these Terms at any time. We will provide at least 30 days' notice of material changes by email or by posting a prominent notice on the platform. Your continued use of the platform after the effective date of revised Terms constitutes acceptance of the changes.
